Terms of Service

Effective date: September 30, 2025
Company: Gohn Cloud Cost Solutions LLC (“Gohn Cloud Cost Solutions,” “we,” “our,” “us”) — a Wyoming limited liability company.

1) Acceptance of Terms

By creating an account, installing our automation, or paying an invoice, you (“Customer”) agree to these Terms of Service and any order forms, statements of work, or pricing pages referenced (collectively, the “Agreement”).

2) Services

We provide technical cloud cost optimization services and automation for AWS and Azure (the “Services”). We do not provide management consulting or legal/financial advice. The Services may include software components we host or deploy in your environments (e.g., policies, IaC modules, controllers, and integrations).

3) Eligibility & Business Use

The Services are intended for business and organizational customers. You represent that you have authority to bind the entity you act for.

4) Customer Accounts & Security

You are responsible for safeguarding credentials and for actions taken under your account. We implement least-privilege access patterns and will only request permissions necessary to operate the Services.

5) Cloud Access & Deployment

You grant us a limited, non-exclusive license to access and process your cloud usage, cost, and configuration data solely to provide the Services. You remain responsible for your cloud providers’ terms, including AWS and Microsoft Azure terms, and for maintaining appropriate backups and DR.

6) Data Ownership

As between the parties, you own your data, including cost, usage, tags, and configuration (“Customer Data”). We own our software, automation, models, policies, templates, and documentation (“Gohn Materials”). No rights are transferred except as expressly stated.

7) Confidentiality

Each party may access the other’s non-public information. The receiving party will use at least reasonable care to protect it and only use it to perform under this Agreement. Exceptions apply for information that is public, independently developed, or rightfully received from a third party.

8) Privacy

Our handling of personal information is described in our Privacy Policy below, which is incorporated by reference.

9) Fees, Billing & Taxes

Fees are as shown on the applicable order form or pricing page (e.g., percent-of-spend subscription or percent-of-verified-savings). Unless otherwise stated, invoices are due net 30 days. Late amounts may accrue 1.5% interest per month (or the maximum allowed by law). Fees are exclusive of taxes; you are responsible for applicable taxes other than our income taxes.

10) Refunds

If you are unsatisfied for any reason, you may request a refund within 30 days after payment. See the Refund Policy below for details. Approved refunds are issued to the original payment method.

11) Acceptable Use

You will not: (a) reverse engineer or circumvent security; (b) use the Services to infringe rights or violate law; (c) misrepresent affiliation; (d) resell or provide the Services to third parties except for your affiliates’ internal use.

12) Service Changes & Availability

We may modify features to improve performance, security, or compliance. We will not materially reduce core functionality during a paid term without providing an alternative or prorated refund at your option.

13) Warranties & Disclaimers

WE PROVIDE THE SERVICES “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee any particular savings amount or performance outcome.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA. EXCEPT FOR (i) YOUR PAYMENT OBLIGATIONS; (ii) EITHER PARTY’S CONFIDENTIALITY BREACH; OR (iii) YOUR INFRINGEMENT OF OUR IP, EACH PARTY’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

15) Indemnification

You will indemnify and defend us from third-party claims arising from your use of the Services in violation of this Agreement or applicable law. We will indemnify and defend you from third-party claims alleging that the Services (as provided by us) infringe a U.S. intellectual property right, provided you promptly notify us and allow us control of the defense. Our obligations do not apply to combinations or use not authorized by us or to Customer Data.

16) Term, Renewal & Termination

This Agreement starts when you first accept it and continues for the term stated in your order. Either party may terminate for material breach not cured within 30 days of notice. You may also terminate at any time for convenience; prepaid fees are handled under the Refund Policy where applicable. Upon termination, your access ends and we will delete or return Customer Data per Section 17.

17) Data Return & Deletion

Upon written request within 30 days after termination, we will provide a reasonable export of Customer Data then in our possession. Thereafter, we will delete Customer Data from our systems except as required by law, audit, or archival safeguards.

18) Export & Sanctions

You represent that you are not barred by U.S. export controls or sanctions and will not permit access to the Services from embargoed countries or to prohibited parties.

19) Governing Law; Venue

This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The courts located in Laramie County, Wyoming shall have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there. Either party may seek injunctive relief in any court of competent jurisdiction.

20) Updates to Terms

We may update these Terms. Material changes will take effect upon posting and will apply at the next renewal or 30 days after notice—whichever is later. Continued use after that date constitutes acceptance.
